1. Agreement

These Terms of Service ("Terms") govern your access to and use of the vAssistant platform, website, and related services (collectively, the "Service"), provided by Violtech ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

vAssistant is a platform for building, deploying, and operating AI agents across multiple channels and integrations. Specific features available to you depend on your subscription plan.

3. Your Account

  • You must provide accurate registration information and keep it current.
  • You are responsible for all activity that occurs under your account and for keeping your credentials secure.
  • You must notify us promptly of any unauthorized use of your account.
  • You must be at least 16 years old to use the Service.

4. Acceptable Use

You agree not to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property, privacy, or other rights of any third party
  • Use the Service to send spam, harass, defraud, or harm others
  • Deploy agents that impersonate real people in a deceptive manner or that engage in fraud
  • Upload or process content you do not have rights to use
  • Attempt to bypass security, rate limits, or access controls
  • Reverse engineer, decompile, or attempt to extract source code from the Service
  • Use the Service to develop a competing product or to scrape non-public data from the Service
  • Process sensitive categories of data (health, financial, government ID) without first agreeing to applicable add-on terms with us

5. Third-Party Integrations

The Service lets you connect third-party services (such as Google Workspace) via OAuth or API keys. When you connect a third-party service, you authorize vAssistant to access and act on data within that service according to the scopes you grant.

You are responsible for complying with the terms of service of any third-party service you connect. We are not responsible for the availability, content, or behavior of third-party services.

When using Google APIs, vAssistant complies with the Google API Services User Data Policy, including Limited Use requirements. See our Privacy Policy for details.

6. Your Content and Data

You retain all rights to the content you upload, configure, or create through the Service ("Customer Data"). You grant us a limited license to use Customer Data solely to operate and provide the Service to you.

We do not use Customer Data to train generalized AI models. We do not sell Customer Data.

7. Subscription and Payment

Some plans require payment. Fees, billing cycle, and plan features are described at sign-up and in your account billing settings. Payments are non-refundable except where required by law or expressly stated by us.

We may change pricing for future billing cycles with at least 30 days' notice. Continued use after a price change constitutes acceptance.

8. Cancellation and Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account if you violate these Terms, if your payment fails, or for any reason with reasonable notice. We may terminate immediately for serious violations (security threats, illegal use).

Upon termination, your access ends and your data will be deleted per our retention policy in the Privacy Policy.

9. Intellectual Property

The Service, including all software, designs, trademarks, and documentation, is owned by Violtech and is protected by intellectual property laws. These Terms do not grant you any rights to our marks or branding.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-GENERATED OUTPUT MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE FOR YOUR USE CASE. YOU ARE RESPONSIBLE FOR REVIEWING AND VALIDATING AI OUTPUT BEFORE RELYING ON IT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIOLTECH AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold Violtech harmless from any claim, loss, or liability arising from: (a) your violation of these Terms; (b) your Customer Data or its processing through the Service; (c) your violation of any law or third-party right.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-product notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts of India.
